1. Acceptance of Terms
By accessing or using Upodcaster's website, services, or studio facilities, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Description of Services
Upodcaster provides podcast recording studio rental services, including access to professional recording equipment, video production capabilities, sound-treated recording rooms, and optional add-on services such as engineering support, editing, and AI-powered production tools. Our services are available at our Los Angeles location and through our membership programs.
3. Account Registration
To book studio sessions or access certain features, you must create an account. You agree to:

Accept responsibility for all activities under your account

Notify us immediately of any unauthorized account access
4. Booking Policies
4.1 Reservation Requirements

All bookings must be made through our website or authorized channels

A valid payment method is required to confirm reservations

Minimum booking duration is 1 hour for all studios

Bookings are confirmed only upon receipt of payment or membership verification
4.2 Arrival and Session Times

Please arrive 10 minutes before your scheduled session

Late arrivals will not extend your session end time

Sessions must end at the scheduled time to accommodate subsequent bookings

A 15-minute grace period is provided; arrivals beyond this may forfeit the session
4.3 Guest Policies

Guest limits vary by studio (please check studio specifications)

All guests must be registered at the time of booking

The account holder is responsible for all guest conduct

Unregistered guests may be denied entry
5. Cancellation and Refund Policy
5.1 Standard Cancellations

48+ hours notice: Full refund or credit

24-48 hours notice: 50% refund or full credit for future booking

Less than 24 hours: No refund; session credit may be issued at our discretion

No-shows: No refund or credit
5.2 Membership Bookings

Membership hours used for cancelled bookings will be restored according to the cancellation timeframe above

Repeated late cancellations may result in membership review

Unused membership hours do not roll over unless specified in your plan
5.3 Rescheduling
Rescheduling requests made 24+ hours in advance will be accommodated subject to availability at no additional charge. Rescheduling within 24 hours may incur a $25 administrative fee.
6. Studio Usage Rules
While using our facilities, you agree to:

Treat all equipment with care and report any issues immediately

Not move, modify, or adjust equipment without staff permission

Keep the studio clean and leave it in the condition you found it

Not bring food or beverages near recording equipment

Not smoke, vape, or use any tobacco products in the facility

Not engage in any illegal activities on the premises

Follow all safety guidelines and staff instructions
-
Not record content that is illegal, defamatory, or violates third-party rights
7. Payment Terms

All prices are in US dollars and subject to applicable taxes

Payment is due at the time of booking unless otherwise arranged

We accept major credit cards and approved payment methods

Membership fees are billed monthly on your billing date

Failed payments may result in suspension of services
-
Promotional codes and discounts are subject to specific terms
8. Intellectual Property
Your Content: You retain full ownership of all audio, video, and other content you create during your sessions at Upodcaster. We claim no rights to your creative work.
Our Property: The Upodcaster name, logo, website design, and all related materials are our intellectual property. You may not use our branding without written permission.
9. Liability Limitations
9.1 Equipment and Property
You are responsible for any damage to our equipment, facilities, or property caused by you or your guests during your session. Repair or replacement costs will be charged to your account.
9.2 Personal Property
Upodcaster is not responsible for loss, theft, or damage to your personal property while on our premises. Please secure your valuables.
9.3 Recording and Data
While we maintain professional equipment and backup systems, we are not liable for any loss of recordings or data. We strongly recommend you bring your own backup storage devices.
9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPODCASTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Upodcaster, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
11. Membership Terms

Memberships are personal and non-transferable

Membership benefits apply only to the registered member

You may cancel your membership at any time; cancellation takes effect at the end of the current billing period

Unused hours expire at the end of each billing period unless your plan includes rollover

We reserve the right to modify membership terms with 30 days notice

Abuse of membership benefits may result in termination
12. Termination
We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause, including for violation of these Terms, non-payment, or conduct we deem harmful to our business, staff, or other clients. Upon termination, your right to use our services ceases immediately.
13. Dispute Resolution
Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits against Upodcaster.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
